1. NO PURCHASE NECESSARY TO ENTER OR WIN. A PURCHASE DOES NOT IMPROVE YOUR CHANCES OF WINNING. THESE OFFICIAL RULES INCLUDE AN ARBITRATION PROVISION. PLEASE REVIEW IT CAREFULLY. Giveaway may only be entered in or from the 50 United States and the District of Columbia.
2. HOW TO ENTER: Beginning on July 15, 2024 at 12:01 am Eastern Time through July 22, 2024 at 11:59 pm Eastern Time, (i) like the July 15, 2024 Giveaway social media post on @lifeatasp Instagram account or Facebook account, and (ii) “tag” or comment on your ASP location in Facebook or Instagram. There is no limit to the number of times you may enter. ASP locations that have been “tagged” or commented on in Facebook or Instagram will be entered into the Giveaway. Use of any robotic, automatic, programmed, or similar entry method will void all entries and result in disqualification. Facebook and Instagram are not in any way associated with this Giveaway.
3. ELIGIBILITY: Open to individuals who (i) residents of the 50 United States and D.C., (ii) 18 years of age or age of majority or older as of July 15, 2024, and (iii) who are currently employed by an America’s Swimming Pool Co.® brand franchise or corporate retail store, except for employees of Authority Brands, Inc. (”Sponsor”), their affiliates, subsidiaries, and agencies (collectively “Promotion Parties”), and members of their immediate family or persons living in the same household. Open to ASP locations (i) with a valid and effective franchise agreement with ASP Franchising SPE LLC, and (ii) in good standing as determined by Sponsor and ASP Franchising SPE LLC, from the beginning of the Giveaway through the winner selection. Void where prohibited.
4. DRAWING: A random drawing will be conducted on or about July 23, 2024 by Sponsor to select three (3) individual winners from among all eligible entries received. Additionally, the ASP location with the most “tags” and comments will be selected as the ASP location winner. Odds of winning depend on the number of entries received. Potential winners will be notified via direct message on Instagram or Facebook and must sign and return any required Affidavit of Eligibility and Release within seven (7) days of the date notice is sent or such other date set by Sponsor. Failure to respond within the applicable time period will result in forfeiture of prize and Sponsor shall have the option to award the prize to an alternate winner. The return of any prize notification or prize as undeliverable may result in disqualification and an alternate winner may be selected. All income taxes resulting from acceptance of prize are the responsibility of winner. By entering this Giveaway, entrant accepts and agrees to these Official Rules and the decisions of the Sponsor, which shall be final in all matters. Acceptance of a prize also constitutes permission to the Promotion Parties to use winner’s name, likeness, and biographical information for marketing and other legitimate purposes without further compensation or right of approval, unless prohibited by law. All federal and state laws apply.
5. LIMITATION OF LIABILITY: By entering this Giveaway, entrants waive all right to, and hold the Promotion Parties harmless from, any claim, liability, loss, damage (including exemplary, punitive, special, incidental, and consequential damages), or expense (including attorneys’ fees) arising out of or in connection with participation in this Giveaway or the acceptance, use, or misuse of any prize. SOME JURISDICTIONS DO NOT ALLOW THE LIMITATIONS OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE MAY NOT APPLY TO YOU. Promotion Parties will not be responsible for: late, incomplete, or incorrect entries; an entrant’s failure to receive prize notices due to entrant’s spam, junk e-mail, or other security settings or for entrants’ provision of incorrect or otherwise non-functioning contact information; technical, hardware, or software malfunctions, lost or unavailable network connections, or failed, incorrect, inaccurate, incomplete, garbled, or delayed electronic communications whether caused by the sender or by any of the equipment or programming associated with or used in this Giveaway; by any human error which may occur in the processing of the entries in this Giveaway; or any typographical, technological, or other error in the publishing of the offer, administration of the Giveaway, or announcement of the prizes. If, in the Sponsor’s opinion, there is such an error, or there is any suspected evidence of tampering with any portion of the Giveaway, or if technical difficulties (including viruses and bugs) compromise the integrity of the Giveaway, Sponsor reserves the right to, in its sole discretion, cancel or modify this Giveaway in a manner deemed appropriate by the Sponsor. In the event of termination, winners will be selected from among all eligible entries received as of date of termination. In the event a dispute arises as to the identity of a potentially winning entrant, entries will be declared made by the name on the Instagram or Facebook account entry form. Sponsor reserves the right to modify these Official Rules in any way, at any time or for any or no reason, as long as Sponsor gives reasonable notice, which shall be deemed to be fulfilled once the modified Official Rules are posted on the America’s Swimming Pool Co.® website, Instagram account or Facebook account.
6. PRIZES:
Prize(s) consists of only those items specifically listed as part of the prize(s). Limit one prize per family or household. No substitution or transfer of prize permitted by winner. Sponsor reserves the right to substitute a prize of equal or greater value. All prizes will be awarded. If a potential winner is disqualified for any reason, Sponsor will award the applicable prize to an alternate individual winner by random drawing from among all remaining individual eligible entries or the eligible ASP location with the next highest number of “tags” and comments, as the case may be. Only three (3) alternate drawings will be held, after which the prize will remain un-awarded.
7. ARBITRATION, CHOICE OF LAW AND FORUM: Entrant agrees that all matters arising out of or relating to this Giveaway and these Official Rules are governed by, and construed in accordance with, the laws of the State of Maryland, without giving effect to any of its conflict of laws provisions thereof. Entrant further agrees that any claim or controversy arising out of, relating to or in connection with the Giveaway or these Official Rules will be resolved exclusively by arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules at its Washington, DC regional office and conducted only on an individual basis and not in a class, consolidated or representative basis. Entrant agrees to faithfully observe these Official Rules and abide by and perform any award rendered by the arbitrator and that any arbitration award may be entered in any court or competent jurisdiction. For any claim or controversy which may not be subject to arbitration or in connection with the entering of any judgment on an arbitration award in connection with these Official Rules or the Giveaway, the entrant irrevocably submits and consents to the exclusive jurisdiction and venue of the state and federal courts located in Howard County in the State of Maryland and agrees not to raise the defense of forum non-conveniens. In the event any portion of this section is deemed invalid or unenforceable, the remaining portions will remain in force.
